General
This agreement is entered into by Vexis and each of its Affiliate(s). “You”, “Your” refers to each and every affiliate or sub-affiliate of the Vexis affiliate program. Participation in the program constitutes full and complete acceptance of this Affiliate Agreement.

You agree that you are in a jurisdiction where participation in the Vexis affiliate program does not violate any law, ordinance, regulation or standard.

Commissions
Commissions are paid on a one-time basis for each new customer that purchases a qualified hosting package from Vexis as a result of a referral from an affiliate. All customers of Vexis, regardless of origin or referral, are the sole property and responsibility of Vexis.

The qualified hosting packages and their commissions are:
Standard – 900 SEK / purchase
Premium – 1200 SEK / purchase
Unlimited – 2400 SEK / purchase

For affiliates outside of Sweden, the commission will be converted to the affiliate’s currency based on the current exchange rate on the day of the sale.

For a commission to be paid out, the purchased service needs to have been active for at least 30 days, the commission also has to be approved by Vexis. Vexis reserves the right to disapprove any commission for any reason.

Referral methods
As a Vexis affiliate, you have two methods for referring clients.

Link
Vexis will provide you with an affiliate URL to specifically identify you, which will allow you to link to the Vexis website. You may post this link in any location, as many times as you like subject to the remaining terms of this agreement regarding acceptable links. Vexis will try to track any customers referred to Vexis via the link for up to 90 days, and if a purchase is detected, Vexis will assign a commission to you.

You agree to take full responsibility for ensuring the proper and continuing operation of your affiliate URL. You agree that you will notify Vexis if your affiliate URL ceases to function or ceases to function properly.

Support Ticket
You can create a support ticket through the client area to register a referral. To do that you need to provide us with the name of the customer, the approximate time of purchase, and any other information we ask for. The support ticket has to be created within 5 days of the purchase. If we can verify that the provided information is correct, we will assign a commission to you.

Payouts
Commissions are not paid until a payout request is submitted by you via the Vexis client area. If You fail to properly submit a payout request within one (1) year of the date upon which your referred purchase was made, You will forfeit the commission and You hereby agree to release Vexis from all liability for payment of any such forfeited commissions.

Payment methods
Commissions can be paid through a PayPal payout, a service credit on your Vexis web hosting account, or any other payment method agreed upon by Vexis in writing.

For payments to be made through PayPal, you must provide us with your PayPal email. This information should be provided to Vexis through the client area by opening a ticket.

Ownership and licenses
Vexis grants you as an affiliate a revocable, non-exclusive, worldwide License to use, reproduce and transmit the Vexis logos, trademarks and service marks on your site and only your site for the sole purpose of facilitating a link between your site and Vexis to accomplish the purpose and intent of this affiliate agreement. You may also use the links and images located in the link library prepared specifically for that purpose subject to the same terms and conditions. You may not otherwise use, copy, distribute, change, modify, or otherwise, alter any such property. This License is neither assignable nor transferable.

You agree to immediately cease the use of any mark upon request made by Vexis to the email address provided by you and maintained on file for you by Vexis. You agree to immediately cease the use of any link created by you to Vexis upon request by Vexis to the email address provided by you and maintained on file for you by Vexis.

Affiliate Code of Conduct
Affiliates shall abide by the highest standards of ethics and professionalism. Without limiting the generality of the foregoing, Affiliate and/or your Promotional Content shall not, in connection with the Affiliate Program:

1. Misrepresent the Services in any way, including its prices, plans, discounts, or functionality;
2. Offer or provide any warranties, guarantees, incentives, rewards, or indemnities, except as set forth in the Vexis – Terms of Service or approved in writing by the Vexis team;
3. Disparage Vexis and its representatives, the Services, or the Program;
4. Use any illegal or spam method of advertising;
5. Violate any copyright, trademark or other intellectual property right of Vexis or any other party. 
6. Compete or interfere with Vexis’s direct advertising efforts. From time to time, Vexis may opt to engage in direct online advertising. The Affiliate shall not place advertisements targeting Vexis’s trademarks and service marks or place advertisements that in any way advertise or display Vexis’s trademarks or service marks. This means, among other things, that the Affiliate shall not bid (in regards to online advertising, including but not limited to Pay per Click or Pay per Impression campaigns) on any keywords or phrases containing Vexis trademarks, service marks, registered trademarks, or registered URLs, or on any variations, abbreviations, or misspellings of the same.
7. Using link cloaking, or masking techniques or technology, with the goal of promoting Vexis on websites and/or networks not explicitly mentioned in your Account;
8. Display Vexis.io, “Vexis”, Vexis’s logos or trade names, or any variation, abbreviation, or misspelling thereof in any URL, domain name, social media profile, or any other online or offline presence.
9. Self-refer or refer yourself in any fashion. This includes referral of any operation or website in which the Affiliate has a controlling, proprietary, or equitable interest. Any referral where payment is made utilizing a form of payment controlled by or belonging to the Affiliate shall be considered a violation of these Terms.

Violations may result in the invalidation of referral commissions and/or immediate termination of the affiliate account. Vexis will be the sole arbitrator as to what constitutes a violation.

Representations
You agree that you will not make any representations, promises, warranties, or other statements about Vexis or the Vexis website, products, or policies other than as may be expressly approved in writing by Vexis or as otherwise provided to you by Vexis for that purpose.

Breach of this Agreement
The breach of this agreement, or any provision thereof, knowingly or otherwise, willful or otherwise, is grounds for immediate suspension or at the sole option of Vexis termination of this agreement in its entirety.

Changes to the Agreement
Vexis may, in its sole discretion, change or modify this agreement at any time, with or without notice. You are responsible to read the agreement from time to time. All changes, amendments, and modifications of the agreement shall be effective as of the date posted on the Vexis website and You agree that You shall be bound by all such changes, amendments, and modifications of the agreement effective upon posting.
